Terms and Conditions for Skhokho

These Terms and Conditions govern your access to and use of Skhokho's cloud-based Business Management Software (BMS) platform. By creating an account or accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
Skhokho Corporation ("Skhokho," "we," or "us") provides a cloud-based Business Management Software (BMS) platform designed for small to medium-sized businesses to manage projects, human resources (HR), sales/CRM, objectives and key results (OKRs), accounting, and other business operations. The following Terms and Conditions ("Terms") govern your access to and use of Skhokho's online software-as-a-service platform, including all related websites, applications (including the Skhokho WhatsApp application), and services (collectively, the "Service").
By creating an account or by accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
By accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such case "you" shall refer to both you as an individual and the entity you represent. If you do not have such authority, or if you do not agree with these Terms, you must not accept the Terms nor use the Service. These Terms form a binding agreement between Skhokho and you.
Important: Any new features or tools which are added to the Service (for example, new modules or updates) will also be subject to these Terms. Skhokho reserves the right to update or change these Terms at any time as described in the "Modifications to the Terms" section below. You are responsible for checking for updates to the Terms periodically, and your continued use of the Service after any changes are posted constitutes your acceptance of those changes.
2. User Accounts
Account Registration
To access the Service, you must create a user account and provide required information such as your name, email, and any other contact details. You agree that all registration information you submit will be truthful, accurate, and complete, and you will keep it up-to-date at all times. You may also be required to set a secure password. Accounts are intended for use by the individual or business entity that registers; you may not transfer your account to others without our written permission.
Account Security
You are responsible for maintaining the confidentiality of your account login credentials and for restricting access to your account. You are solely responsible for all activities that occur under your account (whether by you or by others). If you become aware of any unauthorized use of your account or any breach of security, you must notify Skhokho immediately. Skhokho will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
Authorized Users
If you are a business owner or account administrator inviting team members to use the Service, you are responsible for ensuring that all such users comply with these Terms. You agree that any users you authorize to access the Service under your account (each with their own login) are acting on your behalf and that you are responsible for their actions in the Service. Each user must have a unique account and credentials; sharing login information among multiple individuals is prohibited for security and accountability reasons.
Eligibility
The Service is intended for users who are at least 16 years old (or the age of majority in your jurisdiction, if higher). It is not intended for children under 16. By creating an account, you represent that you meet this eligibility requirement. If you are using the Service on behalf of an organization, you further affirm that all individual users are authorized to do so and are of legal age to enter into these Terms.
Account Use and Termination
You agree to use your account only for legitimate business purposes and in accordance with these Terms. We reserve the right to suspend or terminate your account (or specific user accounts under your organization) at any time if we reasonably suspect that: (a) any information you provided is inaccurate or fraudulent, or (b) you or anyone using your account has violated these Terms or is using the Service for unlawful or unauthorized purposes. In such cases, we may, at our sole discretion, refuse any and all current or future use of the Service by you. Termination of your account will result in disabling your access to the Service and may result in forfeiture of data associated with your account.
3. Subscription and Billing
Some features of Skhokho are provided on a paid subscription basis. By subscribing to a Skhokho plan, you agree to the following terms regarding fees and payments:
Subscription Plans and Billing Cycle
Skhokho offers subscription plans (such as Starter, Business, Business Pro, etc.) which may be billed on a monthly or annual recurring basis, depending on the plan you choose. Subscription charges are billed in advance for each billing cycle (e.g., each month or year) and will automatically renew at the end of each cycle under the same conditions unless you cancel the subscription prior to the renewal date. For example, if you sign up for a monthly plan, your subscription will renew each month on the same calendar day, and your provided payment method will be charged, until you cancel the subscription.
Payment Method
You must provide a current, valid payment method (such as a credit card or other accepted payment instrument) when subscribing. You authorize Skhokho (or our payment processor) to charge your provided payment method for all subscription fees as they become due. You represent and warrant that you are authorized to use the payment method you provide and that all billing information is correct. You agree to promptly update your account information if there are changes (e.g., billing address, card number, or expiration date) to ensure we can process your payments timely. Failure to provide or maintain accurate and complete billing information (including having an invalid or expired payment method) may result in suspension of your access to the Service until the issue is resolved.
No Long-Term Commitments
Skhokho subscriptions are offered on a flexible basis. There are no long-term contracts; you may cancel at any time and you will not be charged any cancellation fees. The subscription will simply not renew after the current billing period if you cancel, as described in the Cancellation section below. (However, prepaid fees for the current period are generally non-refundable, also described below.)
Free Trials and Promotions
Skhokho may offer free trials or introductory promotional offers for new customers. If you are on a free trial, you will be able to use the Service without charge for the duration of the trial period. Unless otherwise stated, at the end of a free trial your subscription will automatically convert to a paid plan and the applicable subscription fee will be charged, unless you cancel before the trial period ends. Skhokho reserves the right to modify or discontinue free trial offers at any time. Any special promotions or discounts will be subject to the specific terms of that offer; after the promotional period ends, standard rates will apply.
Changes to Fees
Skhokho may change the subscription fees for the Service from time to time. Fee changes will generally take effect at the start of your next billing cycle after we provide you with notice of the changes. If we increase prices, we will give you reasonable prior notice so you can choose to cancel your subscription before the new rates apply. If you continue to use the Service after the fee change takes effect, that constitutes your agreement to pay the new amount. All fees are exclusive of any taxes that may apply; you are responsible for paying any such taxes as required by law.
4. Cancellation and Refund Policy
Cancellation by You (Subscription Non-Renewal)
You may cancel your Skhokho subscription at any time if you decide to stop using the Service. Cancellation means that your subscription will not automatically renew for a new billing cycle. You can cancel via your account settings page or by contacting our customer support team. Once you submit a cancellation, you will continue to have access to the Service until the end of your current paid-up billing period, after which the subscription will terminate. For example, if you cancel a monthly subscription halfway through the month, you will retain access for the remainder of that month and your plan will not renew for the next month. There are no additional charges or cancellation fees for stopping a subscription.
No Refunds for Unused Periods
Skhokho generally does not provide refunds or credits for any prepaid subscription fees. This means that if you cancel in the middle of a billing cycle, the unused portion of your subscription (through the period's end) will not be refunded. Upon cancellation, you simply will not be charged for the subscription again after the current cycle. We may make exceptions (e.g., a pro-rata refund) in extenuating circumstances or if required by applicable law, but such determinations are at Skhokho's sole discretion.
Downgrades
If you choose to downgrade your subscription plan (for example, to a lower tier with fewer features or users), the change will generally take effect from the next billing cycle unless stated otherwise. You will continue on your current plan until the period ends. Note that downgrading may cause loss of features or capacity, so ensure that the lower plan meets your needs. We do not provide refunds for unused features or remaining time if you choose to downgrade before the end of a billing period.
Data and Access After Cancellation
Once your subscription ends or your account is terminated, your access to the Service will be limited or shut off. It is your responsibility to export or secure any data you need from the Service before your subscription term ends or your account is closed. Skhokho may delete or archive customer data associated with cancelled or terminated accounts in accordance with our data retention policies and as permitted by law.
5. Use of Services (Acceptable Use Policy)
By using Skhokho's Service, you agree to do so in compliance with these Terms and all applicable laws and regulations. We strive to maintain a respectful, lawful, and secure environment for all users. You must not misuse the Service. In particular, you agree that you will NOT engage in any of the following prohibited activities:
Unlawful Activities
Using the Service for any unlawful purpose or to promote illegal activities. You must not violate any applicable laws or regulations when using Skhokho. This includes (but is not limited to) laws relating to data privacy, intellectual property, spam, export control, and fraud. You also must not solicit or encourage others to engage in illegal or harmful acts.
Violations of Rights
Uploading, transmitting, or storing any content that infringes or violates the intellectual property rights or other rights of any person or entity. This means you should only upload content (documents, text, images, data, etc.) that you have the right to use. Do not use Skhokho to store or share unauthorized copyrighted materials, trademarks, trade secrets, or confidential information of others without permission.
Abusive or Harmful Behavior
Using the Service to harass, threaten, abuse, insult, or harm anyone. You may not post or transmit any material that is libelous, defamatory, obscene, vulgar, discriminatory, or otherwise offensive. This includes content or communications that disparage or intimidate individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other sensitive factors. Hate speech, bullying, and stalking are strictly prohibited.
False or Misleading Information and Impersonation
You agree not to submit false, misleading, or fraudulent information via the Service. This includes not using a false identity, not impersonating any person or entity, and not misrepresenting your affiliation or the origin of any content or data. For example, you should not pretend to be another user or falsify records, reports, or messages sent through Skhokho.
Malicious Code and Security Threats
You must not upload or introduce any viruses, worms, malware, or any other destructive code into the Service. Any attempt to damage or interfere with Skhokho's systems or other users' data is strictly forbidden. This includes refraining from activities like hacking, pinging, flooding, or launching denial-of-service attacks against the Service or network.
Enforcement
Skhokho reserves the right (but is not obligated) to monitor how the Service is used and to investigate any behavior that we believe may violate these Terms. We may remove any content or data, and/or restrict or terminate access for any user whom we believe has violated the above requirements, at our sole discretion, with or without notice.
6. Data Privacy and Security
Your privacy is very important to Skhokho. By using the Service, you consent to the collection, use, and disclosure of information about you as described in our Privacy Policy. Our Privacy Policy, which is available on our website, explains what personal data we collect from users, how we use and safeguard that data, and the choices you have. Please review the Privacy Policy carefully, as it is incorporated into these Terms by reference.
Data Security
Skhokho is committed to protecting the security of your data. We implement a variety of technical and organizational measures to secure your information and content. For example, we use encryption protocols for data in transit and at rest where appropriate, and we follow industry best practices to protect against unauthorized access or disclosure. However, you acknowledge that no method of transmission over the Internet or electronic storage is 100% secure or error-free, and Skhokho cannot guarantee absolute security.
User Responsibilities
You play a crucial role in maintaining the security of your data. It is your responsibility to keep your account credentials (login and password) confidential. Additionally, you should use appropriate security on the devices you use to access Skhokho (such as using passcodes, keeping your software updated, and not using public unsecured Wi-Fi for sensitive transactions). If you suspect any unauthorized access to your account or data, you must notify us immediately so we can assist in securing your account.
Data Backup and Retention
While Skhokho maintains backups and redundancy for the Service as part of our disaster recovery planning, we do not guarantee that any content or data you store in the Service will never be lost or corrupted. Therefore, you agree that you are responsible for maintaining your own backups of important data that you input into Skhokho. If your account is terminated or if there is a service outage, having your own backup ensures you still have access to critical information.
7. Intellectual Property
Skhokho's Intellectual Property
The Service (including all software, code, databases, processes, user interfaces, website design, layout, and content provided by Skhokho) is the property of Skhokho or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. All logos, product names, and brand features of Skhokho are our trademarks (or our partners' trademarks) and may not be used without our prior written consent. Skhokho retains all rights, title, and interest in and to the Service and all associated Intellectual Property.
These Terms do not grant you any ownership rights or title in the Service, its software, or content. We only grant you a limited, revocable, non-exclusive and non-transferable license to access and use the Service for your internal business purposes, subject to your compliance with these Terms.
User Content Ownership
You retain all rights to the files, data, text, documents, or other content that you upload or submit to the Service ("User Content"). Skhokho does not claim ownership of your User Content. By providing or inputting User Content to the Service, you represent that you have all necessary rights and permissions to do so, and that such content does not violate the rights of any third party or any laws.
License to Skhokho
In order for us to operate the Service and provide its functionality to you, you grant Skhokho a worldwide, royalty-free, non-exclusive license to host, use, process, display, copy, transmit and otherwise make available your User Content – but solely for the purpose of operating, improving, and providing the Service to you and your team. This means, for example, we may make backup copies of your data, transmit it over networks to enable you and your colleagues to access it, or format it appropriately for display within the application.
Important Note
This license does not give Skhokho any rights to sell your content or share it with third parties for marketing purposes. It is only to allow us to run the Service. You retain full ownership of your content at all times.
8. Third-Party Services
The Skhokho Service may integrate with, or provide you access to, third-party services, products, or content that are not owned or controlled by Skhokho. Examples of third-party services include (but are not limited to) payment processors, cloud storage providers, communication tools (e.g., WhatsApp or email services), mapping or calendar integrations, and any third-party plugins or add-ons you choose to use with Skhokho.
No Skhokho Control or Liability
Any third-party services that you access through Skhokho are provided "as is" for your convenience and are not under our control or direction. For example, if the Service allows you to send messages via WhatsApp or integrates with an accounting software, the functionality relies on those external services. Skhokho makes no warranties or representations and assumes no responsibility or liability for any third-party services, including their accuracy, functionality, security, or reliability.
Third-Party Terms Apply
If you decide to use any third-party services in connection with Skhokho, you are responsible for reviewing and complying with the terms and conditions of those third-party providers. Each third-party service may have its own terms of use or license agreement and privacy policy, which govern your use of that service.
Integration and Data Sharing
When you enable a third-party integration (for instance, linking Skhokho with a cloud drive or messaging platform), you may be granting Skhokho access to your accounts or data on that third-party service, and/or granting the third party access to your data in Skhokho. We will only use and access such third-party accounts and data as needed to provide the integration service to you (per your instructions and our Privacy Policy).
No Endorsement: Skhokho's provision of links or integration points to third-party services does not constitute an endorsement or recommendation of those third parties. We provide these features merely for convenience and improved functionality for users.
9. Use of Skhokho's WhatsApp Application
Skhokho offers an optional WhatsApp interface that allows customers to access certain features of the Service via the WhatsApp messaging platform. This unique interface is provided for your convenience – it enables you to interact with your Skhokho account through a familiar messaging app environment. By choosing to use Skhokho's WhatsApp application, you agree to the following specific terms:
Enabling WhatsApp Access
To use Skhokho via WhatsApp, you will need a valid WhatsApp account (with an active phone number). Skhokho's WhatsApp business number is provided on our site/documentation for customers to message. When you send a message (such as "Hello") to Skhokho's official WhatsApp number for the first time, we will guide you to link your WhatsApp number to your Skhokho account. This process may involve verification steps to ensure the number is yours.
Account Creation via WhatsApp
If you are a new user, it is possible to create a Skhokho account through the WhatsApp chat interface. In that case, the interface will ask for necessary information (like your name, company name, email, etc.) via chat prompts to set up your account. Any account created via WhatsApp is subject to the same Terms and Privacy Policy as if it were created on our website or other platforms.
WhatsApp's Terms Apply
WhatsApp is a service provided by Meta (Facebook). Your use of Skhokho via WhatsApp must comply with WhatsApp's own terms of service and policies, including the WhatsApp Business Messaging Policy. For example, WhatsApp has rules about not sending spam or unauthorized marketing messages via their platform, and about respecting user privacy and content guidelines.
Security and Privacy via WhatsApp
Our integration with WhatsApp is designed with security in mind. Messages you send via WhatsApp to Skhokho are protected by WhatsApp's end-to-end encryption, meaning they are encrypted on your device and decrypted on our system through the WhatsApp Business API. Skhokho applies the same access controls and authentication for actions performed via WhatsApp as it does on the web application.
Appropriate Use Guidelines
- Do not spam or excessively message the Skhokho WhatsApp service with repetitive or irrelevant requests
- Do not send sensitive personal data via WhatsApp that is not necessary for using the service
- Follow any instructions or formats provided for interacting via WhatsApp
- Understand that complex operations might be better handled through the web interface
10. Disclaimers and Limitation of Liability
No Warranty – Service "As Is"
Skhokho provides the Service on an "as is" and "as available" basis, without any warranties of any kind, unless expressly stated otherwise. Your use of the Service is at your sole risk. Skhokho expressly disclaims all warranties and conditions, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
In particular, Skhokho does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The information or results obtained from the Service will be accurate or reliable
- Any defects or bugs in the Service will be corrected
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Skhokho or its officers, directors, employees, agents, partners, affiliates, or suppliers be liable to you for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or related to this agreement or your use of (or inability to use) the Service. This includes, without limitation, damages for loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, device damage, or business interruption or any other commercial or economic losses.
Cap on Direct Damages
Insofar as any liability is not legally excludable under applicable law, Skhokho's liability to you will be limited to the amount actually paid by you to Skhokho in the six (6) months immediately preceding the event giving rise to the claim, or if greater, one hundred US dollars (USD $100).
Indemnification
By using the Service, you agree to indemnify and hold Skhokho harmless from claims arising from your breach of the Terms or misuse of the Service. In other words, you agree that if a third-party makes a claim against Skhokho due to your data, content, or actions on the Service, you will reimburse Skhokho for all losses, liabilities, damages, and expenses (including reasonable attorneys' fees) incurred by us in connection with such claim.
11. Modifications to the Terms
Skhokho reserves the right to modify, update, or replace these Terms and any policies referenced herein at any time. We may do so, for example, to reflect changes in our Service, changes in the law, or for other legitimate operational reasons. If we make material changes to these Terms, we will make reasonable efforts to notify you of such changes.
Notification may occur by various means, including but not limited to: posting the revised Terms on our website (with a new "Last Updated" date), sending an email to the primary address associated with your account, or providing notice through the Service itself. We encourage you to check our Terms page periodically for any updates.
Any modifications to these Terms will become effective upon posting (or as of the effective date specified in the notice, if one is provided). By continuing to use the Service after the updated Terms have been posted, you are indicating that you accept and agree to be bound by the revised Terms. If you do not agree to any amended Terms, you must stop using the Service and, if applicable, cancel your subscription or close your account before the changes take effect.
For changes that we believe may not materially affect user rights or obligations (such as clarifications or grammatical corrections), we may not provide advance notice, and the changes will be effective immediately upon posting. However, for any significant changes, we will try to give advance notice to the contact information on file or via in-app notification.
